1. Agreement to these terms
These Terms of Service govern access to and use of CairoxLab, Inc. software development, AI automation, SaaS development, consulting, support, and technology services. By engaging CairoxLab or using this website, you agree to these terms and any separate written statement of work, proposal, invoice, or service agreement.
2. Services
CairoxLab provides practical commercial software services, including custom web applications, business process automation, AI assistants, reporting systems, client portals, API integrations, deployment support, documentation, maintenance, and related technical services. Specific deliverables, timelines, fees, and acceptance criteria are defined in the applicable written scope or service agreement.
3. Client responsibilities
Clients are responsible for providing accurate requirements, timely feedback, necessary account access, content, data, third-party tool credentials, and approvals. Clients must ensure that requested work is lawful, commercially appropriate, and does not violate third-party rights, platform terms, or applicable regulations.
4. Fees, subscriptions, and payment
Fees may be charged as custom project fees, monthly service agreements, subscriptions, retainers, consulting fees, or other written arrangements. Unless otherwise stated in writing, third-party software, hosting, API usage, payment processors, data providers, and other external services are not included in CairoxLab fees and remain the client's responsibility.
5. Revisions and maintenance
CairoxLab may provide revisions, bug fixes, monitoring, and maintenance as described in the applicable agreement. Changes outside the approved scope, new features, urgent support, or work caused by third-party platform changes may require a separate estimate or additional fee.
6. Intellectual property
Unless otherwise agreed in writing, clients own the custom deliverables created specifically for them after full payment is received. CairoxLab retains ownership of pre-existing tools, reusable code, templates, know-how, internal methods, libraries, and general technical processes used to provide services.
7. Acceptable use
CairoxLab does not provide services for unlawful activity, money transmission, cryptocurrency exchange operations, gambling, adult content businesses, high-risk regulated activity, fraud, spam, malicious software, unauthorized scraping, or projects that violate applicable law or third-party rights. CairoxLab may decline or stop work that appears unlawful, unsafe, or commercially inappropriate.
8. Confidentiality and data
CairoxLab treats client business information, credentials, project details, and non-public materials as confidential. Clients should not provide sensitive regulated data unless it is necessary for the project and covered by a written agreement with appropriate security requirements.
9. Disclaimers
Services are provided using reasonable professional effort. CairoxLab does not guarantee uninterrupted operation of third-party platforms, specific revenue outcomes, search rankings, advertising performance, or results outside CairoxLab's control. AI-powered systems may require testing, monitoring, and human review depending on the use case.
10. Limitation of liability
To the fullest extent permitted by law, CairoxLab is not liable for indirect, incidental, consequential, special, punitive, or lost-profit damages. CairoxLab's aggregate liability for any claim is limited to the amount paid by the client for the applicable service during the three months before the event giving rise to the claim.
11. Changes
CairoxLab may update these terms from time to time. Updated terms will be posted on this page with a new effective date. Continued use of the website or services after updates means you accept the revised terms.
